Corporate Workplace & Hybrid Working Policy

1. Purpose

VERTU Hospitality, Hotels, Resorts & Residences ("VERTU") is an international hospitality company registered as VERTU GmbH in Zug, Switzerland, and is operating through a global network of corporate office, hotels, resorts, residences, and affiliated business units.

Our culture is built on excellence, trust, flexibility, innovation, accountability, and respect. This Workplace Policy establishes the principles governing where and how employees and consultants perform their work while maintaining the highest standards expected from a luxury hospitality organization.

Our objective is to provide employees with flexibility while ensuring operational excellence, outstanding service to our clients and hotel partners, effective collaboration, data security, and compliance with applicable employment laws.

2. Scope

This policy applies to:

  • All permanent employees

  • Part-time employees

  • Executive Management

  • Corporate officers

  • Consultants when contractually applicable

  • Temporary employees where specified

  • Interns where applicable

across all VERTU Hospitality and Hotels companies worldwide.

3. Workplace Philosophy

VERTU believes that exceptional hospitality begins with exceptional people.

Unlike traditional organizations where attendance at a corporate office is the standard model, VERTU embraces a modern workplace designed around flexibility, mobility, productivity, and results.

Our business operates internationally across multiple time zones, making remote collaboration an essential part of our daily operations.

Employees are trusted professionals whose performance is evaluated by the quality of their work, professionalism, responsiveness, and contribution—not by physical presence.

4. Headquarters

The corporate headquarters of VERTU are located in: Zug, Switzerland

The Headquarters primarily hosts:

  • Accounting

  • Finance

  • Administration

  • Corporate Legal

  • Corporate Governance

  • Executive Management

  • Selected Corporate Support Functions

Administrative and accounting functions generally operate primarily from the Headquarters due to operational, financial, legal, confidentiality, and regulatory requirements.

These departments may receive specific workplace arrangements determined by Executive Management.

5. Hybrid Working Model

With the exception of primarily administrative and accounting functions located at the Headquarters in Zug, the majority of VERTU employees work under a Hybrid Working Model.

Depending upon operational needs, employees may perform their duties from:

  • Their home office

  • Corporate office

  • VERTU hotels

  • VERTU resorts

  • VERTU residences

  • Approved co-working facilities

  • During business travel

  • Client premises when appropriate

This flexibility reflects the international nature of our business and allows our teams to remain close to our properties, partners, and clients.

6. Remote Working

Remote work is considered a normal working arrangement within VERTU.

Employees working remotely are expected to:

  • Maintain a professional working environment.

  • Ensure reliable internet connectivity.

  • Remain available during agreed working hours.

  • Attend all scheduled meetings.

  • Maintain confidentiality.

  • Follow all cybersecurity requirements.

  • Protect company information.

  • Ensure that video conferencing environments remain professional.

Remote working is a privilege based upon trust and may be modified whenever operational requirements justify such changes.

7. Working From Hotels

One of VERTU's unique advantages is the possibility of working from selected company hotels and hospitality facilities.

Employees may occasionally perform their duties from:

  • Hotels

  • Resorts

  • Residences

  • Corporate hospitality lounges

  • Project locations

Working from hotels encourages:

  • Better understanding of guest experiences

  • Operational awareness

  • Closer collaboration with hotel teams

  • Product knowledge

  • Brand immersion

Employees must remember that hotels remain operational businesses serving guests first.

Guest experience always has priority.

Employees shall conduct themselves as ambassadors of the VERTU brand.

8. Office Attendance

Employees may be requested to attend:

  • Strategy meetings

  • Executive meetings

  • Team workshops

  • Training sessions

  • Client presentations

  • Annual planning meetings

  • Performance reviews

  • Corporate events

Attendance may be mandatory when requested by management.

Reasonable notice will normally be provided.

9. Working Hours

Unless otherwise specified by employment agreement:

Working hours remain flexible.

Employees are expected to:

  • Complete assigned responsibilities.

  • Meet agreed deadlines.

  • Be available during agreed collaboration hours.

  • Respond promptly to business communications.

Managers may establish team collaboration schedules depending upon project requirements.

10. International Collaboration

VERTU operates globally.

Employees should expect collaboration with colleagues located in different countries and time zones.

Flexibility regarding meeting schedules may occasionally be required.

Managers should ensure fair distribution of meetings across time zones whenever possible.

11. Performance Expectations

Performance is evaluated based upon:

  • Results

  • Quality of work

  • Professionalism

  • Innovation

  • Initiative

  • Responsiveness

  • Collaboration

  • Client satisfaction

  • Respect for deadlines

  • Contribution to company objectives

Physical presence alone is never considered a measure of performance.

12. Communication Standards

Employees are expected to:

  • Monitor corporate email regularly.

  • Respond to internal communications within a reasonable timeframe.

  • Keep calendars updated.

  • Attend scheduled virtual meetings.

  • Maintain professional etiquette during video conferences.

  • Keep managers informed regarding availability.

12.1 External Communications, Public Relations & Brand Representation

To protect the integrity, reputation, and consistency of the VERTU Hospitality, Hotels, Resorts & Residences brand, no employee, contractor, consultant, manager, or executive is authorized to undertake, initiate, approve, or participate in any public relations, marketing, branding, media, public communication, or external promotional activity on behalf of the Company without the prior written approval of either or both the Chairman and the Chief Marketing Officer (CMO), unless such authority has been expressly delegated in writing.

This policy applies to, but is not limited to:

  • Press releases and media announcements.

  • Interviews with journalists or media organizations.

  • Public statements made on behalf of the Company.

  • Participation in podcasts, webinars, conferences, or speaking engagements where the Company is represented.

  • Marketing campaigns and promotional initiatives.

  • Public presentations referencing the Company, its brands, projects, clients, or partners.

  • Corporate social media communications.

  • Brand partnerships, sponsorships, endorsements, and collaborative marketing initiatives.

  • Publication of articles, opinion pieces, or professional content representing the Company's views or positions.

  • Distribution of photographs, videos, logos, brand assets, or other proprietary materials intended for public or commercial use.

Employees remain free to maintain personal social media accounts and professional profiles, provided that they do not represent themselves as speaking on behalf of VERTU, disclose confidential information, misuse Company intellectual property, or publish content that could reasonably be interpreted as an official Company communication without the required approvals.

Any unauthorized external communication may expose the Company to legal, commercial, contractual, or reputational risks and may result in disciplinary action in accordance with applicable Company policies and local employment laws.

13. Technology & Equipment

Employees may receive company equipment including:

  • Laptop computers

  • Mobile devices

  • Software licenses

  • Security credentials

Company equipment remains the property of VERTU.

Employees are responsible for:

  • Proper care

  • Secure storage

  • Preventing unauthorized access

  • Immediate reporting of loss or theft

14. Information Security

Regardless of workplace location, employees must:

  • Use approved VPN connections where required.

  • Protect confidential information.

  • Lock devices when unattended.

  • Avoid discussing confidential matters in public places.

  • Comply with all cybersecurity policies.

  • Follow applicable data protection regulations.

15. Confidentiality

Employees working remotely remain fully bound by all confidentiality obligations contained within their employment agreements.

Confidential information shall never be disclosed to:

  • Family members

  • Friends

  • Visitors

  • Third parties

  • Unauthorized individuals

16. Health & Safety

Employees working remotely are responsible for maintaining:

  • A safe workspace.

  • Appropriate ergonomics.

  • Suitable lighting.

  • Secure electrical installations.

  • Compliance with applicable local regulations.

Employees should immediately report work-related incidents according to company procedures.

17. Business Travel

Employees may occasionally travel for:

  • Hotel openings

  • Property inspections

  • Conferences

  • Client meetings

  • Investment presentations

  • Training

  • Brand launches

  • Executive meetings

Travel shall follow the Company's Travel & Expense Policy.

18. Professional Conduct

Regardless of work location, employees represent the VERTU brand.

Professional standards apply equally when working:

  • From home

  • From an office

  • From a hotel

  • During travel

  • During virtual meetings

Employees are expected to demonstrate:

  • Courtesy

  • Respect

  • Integrity

  • Professional appearance where appropriate

  • Confidentiality

  • Accountability

19. Equal Opportunity

Hybrid working arrangements shall not affect:

  • Career progression

  • Promotions

  • Compensation

  • Performance evaluation

  • Access to training

  • Leadership opportunities

20. Manager Responsibilities

Managers shall:

  • Foster communication.

  • Maintain team engagement.

  • Set clear expectations.

21. Policy Compliance

Failure to comply with this policy may result in corrective action in accordance with applicable company procedures and local employment laws.

22. Amendments

VERTU reserves the right to amend this policy at any time to reflect:

  • Business requirements

  • Legal developments

  • Operational changes

  • Technological advancements

  • International best practices

Employees will be informed of significant revisions.
